軟通動力宣佈批准每股5.7美元私有化協議

北京時間4月19日早間消息，軟通動力(NYSE:ISS)今天宣佈，已經達成了確定的私有化協議。根據這一協議，母公司New iSoftStone Holdings Limited將以每股普通股0.57美元，或每股ADS股份5.70美元的價格收購軟通動力。軟通動力每股ADS股份相當於10股普通股。

新浪科技訊 北京時間4月19日早間消息，軟通動力(NYSE:ISS)今天宣佈，已經達成了確定的私有化協議。根據這一協議，母公司New iSoftStone Holdings Limited將以每股普通股0.57美元，或每股ADS股份5.70美元的價格收購軟通動力。軟通動力每股ADS股份相當於10股普通股。

這一價格較2013年6月5日軟通動力的收盤價4.84美元有17.8%的溢價率，而軟通動力於6月6日宣佈收到了私有化方案。此外這一價格較2013年6月6日之前30個交易日軟通動力的交易量加權平均收盤價有26.4%的溢價率。

在這筆交易完成后，New iSoftStone Holdings Limited的實益擁有者包括軟通動力董事長及CEO劉天文、由中國光大投資管理有限公司管理的基金，以及其他一些高管和股東及其擁有的附屬公司。截至2014年3月31日，這一買方集團實益擁有軟通動力的21.9%流通股份(不包括流通期權和受限股在內)。

軟通動力公司董事會已經批准了這一私有化協議，並建議公司股東投票批准這一私有化協議。負責評估這一協議的董事會獨立委員會由獨立董事組成，與買方集團及公司管理層的任何成員無關。

這筆交易仍需要滿足一定的完成條件，包括私有化協議獲得持2/3股份股東的批准。買方集團將投票支持這筆交易。如果交易完成，那麼軟通動力將成為一家私營公司，其ADS股份將不再通過紐約股票交易所交易。

高盛是軟通動力董事會獨立委員會的財務顧問，Kirkland & Ellis是美國法律顧問，Hankun Law Offices為中國法律顧問，Maples and Calder為開曼群島法律顧問。O Melveny & Myers是軟通動力公司的美國法律顧問。(維金)

[求助!!]電腦一直出問題，但送修都找不到原因~

各位好...

不好意思...因為這問題困擾了我快半年了...最近有點嚴重所以想來版上求救....

小妹本身對電腦不是很了解...如果有說不明白的請告訴我我再補充!!!!

=========淚奔的分隔線=====================

我電腦常常無緣無故就整個畫面不能動(幾乎每天都這樣有時一天連續當掉好多次....)

但是短時間內螢幕畫面還會在，音樂也會撥放

大約過個5~10秒整個螢幕就會變色(一整片的紅色或藍色或灰色←每次都不一樣)或者黑掉，音樂也LAG

然後電腦就會接著自己"關機"，但是風扇還會轉，電源燈也在亮，

只是我的電腦在跑的時候聲音很大聲，遇到這種情況的時候會聽到電腦只剩下風扇的聲音....

有時候手動去長按關機也無法關只能整個電源切掉....

如果再開機就會有逼逼逼逼逼得叫聲
(但長短音..因為它聲音有點接太快了..有點難判斷到底是幾長幾短...)

然後完全開不了機，風扇會跑，但不會聽到開機系統在跑的那種聲音...然後就又要切電源關機了...

我本來想說是否是顯示卡或者POWER有問題去送修，跑了兩家都跟我說他們檢測說配備都沒問題...

有可能是風扇有點髒，於是又幫我清一清...但是回家照樣當機....

有一家推斷"可能是電源供應不穩" 但是又說POWER沒問題，說本來用久了就是會耗損....

但是這種耗損方式..我好難做工作啊!!動不動就當掉...

想請問如果看以上的狀況可以大約知道可能問題在哪嗎...????

不然我抱去檢測完，問他們 顯卡也沒事嗎？ 記憶體也沒事嗎? 主機板呢~((問一堆))

都說沒事我也不知道該怎麼辦了

復活節教育 師生禁食送愛

復活節前夕，八里聖心女中推出「復活．看見幸福」生命教育活動，18日全校千名師生攜手做復活節彩蛋，同時，為體驗耶穌基督受難痛苦，逾千名師生從早上7時禁食至下午4時，中午則進行慈善義賣、義演，所得將全數捐給公益團體。

聖心女中自民國49年創校，年年舉辦復活節活動。復活節為每年春分月圓後的第1個周日，象徵重生與希望，今年為4月21日，教徒會在當天玩找復活蛋的遊戲，找到後便將其吃掉，藉此增添福氣。

昨日聖心女中全校師生，攜手創作復活節彩蛋，同學臉上充滿喜悅笑容，盼復活節當天，讓姊妹淘找到屬於自己的彩蛋。

校長魏雪玲表示，復活節當日，校方將透過尋找復活蛋、發復活彩蛋等活動，讓學生體驗節日所帶來的愛與希望。今年活動還將與美國邁阿密交換學生共襄盛舉。
